  4.                     L I C E N S E    A G R E E M E N T
  5.      
  6.      This legal document is an agreement between you, the end user,
  7.      and Scott Miller.                  BY OPENING THIS SEALED DISK
  8.      PACKAGE, YOU ARE AGREEING TO BECOME BOUND BY THE TERMS OF THIS
  9.      AGREEMENT, WHICH INCLUDES THE SOFTWARE LICENSE, SOFTWARE
  10.      DISCLAIMER OF WARRANTY, AND HARDWARE LIMITED WARRANTY
  11.      (collectively the "Agreement").  THIS AGREEMENT CONSTITUTES THE
  12.      COMPLETE AGREEMENT BETWEEN YOU AND SCOTT MILLER.  IF YOU DO NOT 
  13.      AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT OPEN THE DISK PACKAGE.  
  14.      PROMPTLY RETURN THE UNOPENED DISK PACKAGE AND THE OTHER ITEMS 
  15.      (INCLUDING WRITTEN MATERIALS, BINDERS, OR OTHER CONTAINERS, AND 
  16.      HARDWARE, IF ANY) THAT ARE A PART OF THIS PRODUCT TO THE PLACE WHERE 
  17.      YOU OBTAINED THEM FOR A FULL REFUND.
  18.      
  19.                             SOFTWARE LICENSE
  20.      
  21.      1. GRANT OF LICENSE - In consideration of payment of the LICENSE 
  22.         fee, for which is part of the price you paid for this product, 
  23.         Scott Miller, as LICENSOR, grants to you, the LICENSEE, a 
  24.         nonexclusive right to use and display this copy of a Scott Miller 
  25.         software program (hereinafter the "SOFTWARE") on a single COMPUTER 
  26.         (i.e. with a single CPU) at a single location.  If the single 
  27.         computer on which you use the SOFTWARE is a multiuser system, the 
  28.         License covers all users on that single system.  Scott Miller
  29.         reserves all rights not expressly granted to LICENSEE.

  31.      2. OWNERSHIP OF SOFTWARE - As the LICENSEE, you own the magnetic
  32.         or other physical media on which the SOFTWARE is originally or
  33.         subsequently recorded or fixed, but Scott Miller retains title 
  34.         and ownership of the SOFTWARE recorded on the original disk 
  35.         copy(ies) and all subsequent copies of the SOFTWARE, regardless 
  36.         of the form or media in or on which the original and other copies 
  37.         may exist.  This License is not a sale or the original SOFTWARE 
  38.         or any copy.
  39.      
  40.      3. COPY RESTRICTIONS - This SOFTWARE and the accompanying written
  41.         materials are copyrighted.  Unauthorized copying of the
  42.         SOFTWARE, including SOFTWARE that has been modified, merged,
  43.         or included with other software, or of the written materials
  44.         is expressly forbidden.  You may be held legally responsible
  45.         for any copyright infringement that is caused or encouraged by
  46.         your failure to abide by the terms of this License.  Subject
  47.         to these restrictions, and if the SOFTWARE is not copy-     
  48.         protected, you may make one (1) copy of the SOFTWARE solely
  49.         for backup purposes.  You must reproduce and include the 
  50.         copyright notice on the backup copy.
  51.      
  52.      4. USE RESTRICTIONS - As the LICENSEE, you may physically
  53.         transfer the SOFTWARE from one computer to another provided
  54.         that the SOFTWARE is used on only one computer at a time.  You
  55.         may not electronically transfer the SOFTWARE from one computer
  56.         to another over a network.  You may not distribute registered
  57.         copies of the SOFTWARE or accompanying written materials to 
  58.         others.  You may not modify, adapt, translate, reverse
  59.         engineer, decompile, disassemble, or create derivative works
  60.         based on the written materials without the prior written
  61.         consent of Scott Miller.

  64.      5. TRANSFER RESTRICTIONS - This SOFTWARE is licensed only to you,
  65.         the LICENSEE, and may not be transferred to anyone without the
  66.         prior written consent of Scott Miller.  Any authorized transferees 
  67.         of the SOFTWARE shall be bound by the terms and conditions of this 
  68.         Agreement.  In no event may you transfer, assign, rent, lease, 
  69.         sell, or otherwise dispose of the SOFTWARE on a temporary or 
  70.         permanent basis except as expressly provided herein.

  72.      6. TERMINATION - This License is effective until terminated. 
  73.         This License will terminate automatically without notice from
  74.         Scott Miller if you fail to comply with any provision of this 
  75.         License.  Upon termination you shall destroy the written materials 
  76.         and all copies of the SOFTWARE, including modified copies, if any.
  77.      
  78.      7, UPDATE POLICY - Scott Miller may create, from time to time, 
  79.         updated versions of the SOFTWARE.  At its option, Scott Miller 
  80.         will make such updates available to the LICENSEE and transferee 
  81.         who have paid the update fee, if any, and returned the registration 
  82.         form to Scott Miller.
  83.      
  84.      8. MISCELLANEOUS - This Agreement is governed by the laws of the 
  85.         State of Tennessee.

  88.                 DISCLAIMER OF WARRANTY AND LIMITED WARRANTY
  89.      
  90.      THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS (INCLUDING
  91.      INSTRUCTIONS FOR USE) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF
  92.      ANY KIND.  FURTHER, SCOTT MILLER DOES NOT WARRANT, GUARANTEE, OR 
  93.      MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE 
  94.      USE, OF THE SOFTWARE OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, 
  95.      ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE.  THE ENTIRE RISK 
  96.      AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU.  
  97.      IF THE SOFTWARE OR WRITTEN MATERIALS ARE DEFECTIVE YOU, AND NOT SCOTT
  98.      MILLER OR ITS DEALERS, DISTRIBUTORS, AGENTS, OR EMPLOYEES, ASSUME 
  99.      THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.
  100.      
  101.      Scott Miller warrants to the original LICENSEE that (a) the disk(s) 
  102.      on which the SOFTWARE is recorded is free from defects in materials 
  103.      and workmanship under normal use and service for a period of ninety 
  104.      (90) days from the date of delivery as evidenced by a copy of the 
  105.      receipt and (b) the hardware accompanying the SOFTWARE is free from 
  106.      defects in materials and workmanship under normal use and service for 
  107.      a period of one (1) year from the date of delivery as evidenced by a 
  108.      copy of the receipt.  Further, Scott Miller hereby limits the duration 
  109.      of any implied warranty(ies) on the disk or such hardware to the 
  110.      respective periods stated above.  Some states do not allow limitations 
  111.      on duration of an implied warranty, so the above limitation may not 
  112.      apply to you.
  113.      
  114.      Scott Miller's entire liability and your exclusive remedy as to the 
  115.      disk(s) or hardware shall be, at Scott Miller's option, either 
  116.      (a) return of the purchased price or (b) replacement of the disk or 
  117.      hardware that does not meet Scott Miller's Limited Warranty and which 
  118.      is returned to Scott Miller with a copy of the receipt.  If failure 
  119.      of the disk or hardware has resulted from accident, abuse, or 
  120.      misapplication, Scott Miller shall have no responsibility to replace
  121.      the disk or hardware or refund the purchase price.  Any
  122.      replacement disk or hardware will be warranted for the remainder
  123.      of the original warranty period or thirty (30) days, whichever is
  124.      longer.

  126.      THE ABOVE ARE THE ONLY WARRANTIES OF ANY KIND, EITHER EXPRESS OR
  127.      IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OR
  128.      MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, THAT ARE
  129.      MADE BY MILLER PROGRAMMING & CONSULTING ON THIS MILLER
  130.      PROGRAMMING & CONSULTING PRODUCT.  NO ORAL OR WRITTEN INFORMATION
  131.      OR ADVICE GIVEN BY SCOTT MILLER, ITS DEALERS, DISTRIBUTORS, AGENTS, 
  132.      OR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE 
  133.      SCOPE OF THIS WARRANTY, AND YOU MAY NOT RELY ON ANY SUCH INFORMATION 
  134.      OR ADVICE.  THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY 
  135.      HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

  137.      NEITHER SCOTT MILLER NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE 
  138.      CREATION, PRODUCTION, OR DELIVERY OF THIS PRODUCT SHALL BE LIABLE 
  139.      FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES 
  140.      (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, 
  141.      LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF 
  142.      OR INABILITY TO USE SUCH PRODUCT EVEN IF SCOTT MILLER HAS BEEN ADVISED
  143.      OF THE POSSIBILITY OF SUCH DAMAGES, BECAUSE SOME STATES DO NOT
  144.      ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL
  145.      OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
  146.      
  147.      This Disclaimer of Warranty and Limited Warranty is governed by
  148.      the laws of the State of Tennessee.

  151.                      U.S. GOVERNMENT RESTRICTED RIGHTS
  152.      
  153.      The SOFTWARE and documentation is provided with RESTRICTED
  154.      RIGHTS.  Use, duplication, or disclosure by the Government is
  155.      subject to restrictions as set forth in subdivision (b) (3) (ii)
  156.      of The Rights in Technical Data and Computer Software clause at
